The “Product” means the digital materials identified in your order, including any applicable templates, documents, images, or other downloadable content.

By selecting the acceptance checkbox at checkout and completing your purchase, you agree to this Agreement. You must have legal capacity to enter into this Agreement. If purchasing for an organization, you confirm that you have authority to bind that organization.

1. Delivery and Access

After successful payment, we will provide access to the Product through an emailed download link or another delivery method identified at checkout. Unless the product listing specifies a different delivery time, access will be provided within 48 hours of payment confirmation.

You are responsible for providing a correct email address and ensuring that your device and software meet the requirements disclosed in the product listing.

If you do not receive access within the stated period, or the download does not work, contact us using the details above so we can assist.

You may retain and use your downloaded copy for as long as your licence remains valid. Download links, online storage, replacement downloads, updates, and ongoing support are not guaranteed indefinitely unless expressly included in the product listing. Any access period disclosed before purchase will be honoured.

2. Licence and Permitted Use

Upon receipt of full payment, the Company grants you a non-exclusive, non-transferable, non-sublicensable licence to use the Product for your own personal purposes and internal business purposes, subject to this Agreement.

For Products expressly sold as editable templates or copy, you may adapt the content and publish the resulting customized material for your own business. Attribution to the Company is not required unless a restriction is clearly disclosed before purchase.

You must not:

  • Resell, redistribute, sublicense, give away, or otherwise make the Product or its source files available to third parties.
  • Share download links or account credentials.
  • Use the Product to create templates, downloads, or other products for redistribution or sale.
  • Claim ownership of the underlying Product or remove proprietary notices from its source files.
  • Use the Product unlawfully or in a manner that infringes another person’s rights.

Use for clients, multiple organizations, or redistribution requires a separate written licence unless expressly permitted in the product listing.

Any additional product-specific licence terms must be disclosed before purchase. Where those terms expressly address a particular use, they govern that use.

3. Prices and Payment

The price, currency, applicable taxes, and any additional charges will be disclosed before you complete your purchase.

Payment is due at checkout unless we agree otherwise in writing. Payments may be processed by a third-party payment provider.

If payment is declined or remains unpaid, we may withhold access until payment is completed. If access has already been provided, we may suspend it after notifying you of the payment issue and providing a reasonable opportunity to resolve it.

Nothing in this Agreement restricts your right to dispute an unauthorized or incorrect charge or exercise any right available under applicable law.

4. Refunds and Cancellation

Except where required by applicable law or expressly stated in a product-specific refund policy disclosed before purchase, digital Product purchases are final once the Product has been supplied. We do not offer refunds solely because you change your mind or no longer need the Product.

If the Product is not delivered, is defective, or materially differs from its description, contact us with your order details. We will investigate and provide an appropriate remedy, which may include a working replacement or a refund, subject to applicable law.

This policy does not exclude or limit any statutory cancellation, refund, warranty, or other consumer right.

5. Personal Information

We collect and use the information reasonably needed to process payments, deliver Products, provide support, prevent fraud, maintain transaction records, and comply with legal obligations.

We may share necessary information with service providers supporting those purposes, subject to applicable privacy requirements. We will use appropriate safeguards to protect personal information and retain it only as long as reasonably necessary for the identified purposes or as required by law.

Purchasing a Product does not, by itself, constitute consent to receive promotional emails. Any consent required for marketing communications will be obtained separately.

You are responsible for providing accurate contact and billing information. Privacy questions and requests may be directed to the Company using the contact details above.

6. Intellectual Property

The Company or its licensors retain ownership of the Product and all associated intellectual property rights, including rights in its text, images, graphics, designs, templates, and source materials.

Your purchase grants the licence described in this Agreement; it does not transfer ownership of the Product’s underlying intellectual property.

Third-party materials included in a Product remain subject to any applicable licence restrictions disclosed before purchase.

7. Product Information and Results

We will describe the Product and any known technical requirements accurately. Unless expressly stated in the product listing, the Product does not include customization, consulting, ongoing updates, or professional advice.

We do not guarantee particular financial, business, or personal results. Results depend on your circumstances, decisions, and implementation.

Except for express commitments made in this Agreement or the product listing, and to the extent permitted by applicable law, the Product is supplied without additional warranties or conditions. Nothing in this Agreement excludes warranties or standards that cannot lawfully be excluded.

8. Limitation of Liability

To the extent permitted by applicable law, the Company will not be liable for indirect, consequential, special, or punitive damages arising from your purchase or use of the Product.

To the extent permitted by applicable law, the Company’s total liability arising from a Product will not exceed the amount you paid for that Product.

These limitations do not apply to fraud, wilful misconduct, gross negligence, or any liability or remedy that applicable law does not permit us to exclude or limit.

9. Suspension and Termination

If we reasonably believe you have materially breached this Agreement, we may notify you and require that the breach be corrected within a reasonable period.

We may suspend access immediately where reasonably necessary to stop unauthorized distribution, fraud, unlawful activity, or a security threat. If a material breach cannot be corrected or remains uncorrected after notice, we may terminate your licence.

Upon lawful termination of your licence, you must stop using the Product and delete copies under your control. Termination does not affect rights or remedies that accrued before termination or any rights protected by applicable law.

We will not automatically impose an additional commercial licence fee without your agreement.

10. Events Beyond Reasonable Control

Neither party is responsible for delay or failure caused by circumstances beyond its reasonable control, provided that it promptly informs the other party and takes reasonable steps to reduce the disruption and resume performance.

This provision does not excuse obligations already due or remove any applicable right to cancel an order or receive a refund for an undelivered Product.

11. Governing Law and Jurisdiction

This Agreement is governed by the laws of Ontario and the federal laws of Canada applicable in Ontario.

Subject to any mandatory legal rights permitting proceedings elsewhere, disputes may be brought before the courts of competent jurisdiction in Thunder Bay, Ontario, Canada.

Nothing in this Agreement deprives a consumer of protections or remedies that apply under mandatory laws.

12. Dispute Resolution

Please contact the Company first so we can attempt to resolve any concern directly. Doing so is not a prerequisite to exercising a statutory right or bringing a claim.

The parties may mutually agree to mediation. Arbitration will take place only if both parties voluntarily agree in writing after the dispute arises. Any such agreement must identify the applicable procedure, location, and allocation of costs.

Neither party is required by this Agreement to waive access to courts or participation in a class proceeding where protected by law. Legal costs will be determined by applicable law, the court, or a valid agreement made after the dispute arises.

13. Entire Agreement and Changes

This Agreement, the product description, any product-specific licence terms disclosed before purchase, and the order confirmation form the entire agreement concerning your purchase.

The version accepted at checkout applies to that purchase. Later website changes do not retroactively change your rights. Any amendment to an existing purchase must be agreed to by both parties in writing, including electronically.

We will provide an electronic copy of the Agreement and your order details that you can retain.

14. Assignment, Severability, and Waiver

Neither party may assign this Agreement without the other party’s written consent, except as permitted by applicable law.

If a provision is found invalid or unenforceable, it will be severed to the extent necessary, and the remaining provisions will continue in effect.

A failure or delay in enforcing a provision does not waive the right to enforce it later.

15. Contact and Notices

Questions, support requests, cancellation notices, and other communications may be sent to the Company using the contact details at the beginning of this Agreement.

Nothing in this section limits any method of giving notice permitted by applicable law.
